We’re searching for a Corporate Counsel, SEC, who will be part of a growing team of legal professionals to provide best-in-class counsel. In this role, you handle SEC periodic reports, securities, corporate governance, and equity compensation matters.  You should have outstanding core legal skills, balanced business and legal judgment, and a commitment to the growth and success of DraftKings.  Sound good to you? WHAT YOU’LL DO AS A CORPORATE COUNSEL, SEC:

  • Assist in preparing the Company’s public disclosure documents, including SEC periodic reports such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 filings, and other SEC-related documents.
  • Work closely with senior leadership and investor relations regarding SEC periodic reports and participate in disclosure committee meetings.
  • Assist with public company communications, including press releases and investor presentations.
  • Assist with administration of the Company’s Insider Trading Policy, 10b5-1 plans, and related employee and director equity matters.
  • Support public company secretarial function, including preparing materials for the Company’s board of directors and related committees.
  • Support Internal Audit with SOX compliance matters.
  • Assist with the Company’s Annual Meeting of Stockholders
  • Support mergers and acquisitions activity and related commercial arrangements.

​WHAT YOU’LL BRING:   

  • At least 5 years of relevant experience in securities and corporate governance matters, SEC periodic reports, and securities law compliance; in-house experience a plus.
  • Juris Doctorate Degree from an accredited institution with excellent academic credentials.
  • Active member in good standing with the Massachusetts Bar, or ability to be admitted as in-house counsel in Massachusetts.
  • Experience in the corporate securities practice of a law firm or at a publicly-traded company.
  • Highly organized and able to work both independently and as a member of a team.
  • Excellent written and verbal communication skills, attention to detail, good business judgment, and the ability to handle multiple projects simultaneously.

WHAT YOU’LL DO AS A DISASTER RECOVERY/BUSINESS CONTINUITY SPECIALIST:

  • Own and manage the overall business recovery process
  • Schedule and conduct project planning sessions as required and ensure the development of each of the business continuity and disaster recovery plans
  • Perform company-wide Business Impact Assessments
  • Monitor the business recovery plan development and scheduled deliverables from each team
  • Publish completed plans and distribute to offsite storage and the appropriate personnel
  • Summarize plans according to target audience perspectives: Executive Team, CISO, Managers, etc.
  • Ensure maintenance of the plans through annual review and environment updates as changes take place. A periodic and comprehensive assessment to ascertain the program effectiveness is required annually
  • Ensure that a mechanism is in place for logistically tracking resources and that a Business Recovery Command Centers are defined, tested, communicated, and included in recovery plans, e.g.: Emergency Operations Center, Call Bridges, Virtual Conference Rooms, etc.
  • Work with Operations and Technology personnel to ensure that problems are escalated appropriately during event status through planning, testing and coordination
  • Drive efforts to continuously improve processes related to business continuity to improve recovery response times and the customer experience.

WHAT SKILLS YOU WILL USE :

  • Experience in developing application impact analyses, risk assessments, recovery strategies, process flow and dependency mapping
  • Strong administrative and organizational skills with the drive to create a plan and meet deadlines
  • Ability to interact and work effectively with team members across all locations within the organization
  • CISA, CBCP, CDRP or CISSP certifications are a plus
  • Having performed Disaster Recover & Business Continuity Planning for a tech company is a plus
